TERMS AND CONDITIONS
This Equipment Rental Agreement is between FILMBASE GmbH, Marie-Andeßner-Platz 1, 5020 Salzburg, Austria (RENTOR) and (RENTEE), effective as of the order date. The Rentor will lease the attached video production equipment package to the Rentee under the terms of this agreement.
Authorization:
I/We confirm that we have received a copy of this contract and declare that we have the necessary authority or capacity to enter into and sign this contract, either individually or on behalf of a business entity.
Terms/Rental/Payment:
This is a lease agreement for the equipment and accessories listed on the attached form; it is not a sale. The Renter acknowledges that they have inspected the equipment and found it to be in good working condition. The Owner guarantees that the equipment is operational when it leaves their premises but is not responsible if the Renter fails to operate it correctly. If the Renter does not return the equipment by the specified date, they will be charged a daily fee until it is returned or, if lost, replaced.
Authorized Use:
The Renter agrees that the equipment will only be used by properly qualified employees or agents of the Renter. The equipment must be used according to the standard operating procedures specified for it and only for the intended production purposes. Unless the Owner provides labor, the Renter must keep the equipment under their sole custody and control.
Cancellation:
If the lease is canceled, the Renter must pay either the first day's rental fee, the deposit, or an agreed-upon amount specified in advance, whichever is greater.
Alterations:
The Renter cannot make any changes, additions, or improvements to the equipment without the written consent of the Owner.
General Insurance:
The Renter agrees to insure the equipment for its full value and must list the Owner as an additional insured and loss payee. The Renter must provide proof of insurance when requested or when renting the equipment. The insurance must cover losses or damages in Ireland or abroad, including during transit. If the equipment is used outside Ireland, the Renter must inform the Owner and obtain permission. The Renter is responsible for all customs duties, taxes, and fees for rentals outside Ireland, including any additional costs due to delays in customs or shipping. If the Renter fails to maintain the required insurance, the Owner may, but is not obligated to, purchase it, and the Renter must reimburse the cost. If the insurance lapses or is canceled, it constitutes an immediate breach of the agreement. The Renter is liable for any loss or damage to the equipment, including daily rental fees from the pick-up date until the equipment is returned, repaired, or replaced.
Loss and Damage:
The Renter is responsible for any loss or damage to the equipment from any cause after accepting it and until it is returned to the Owner. In case of theft, the Renter must immediately report the loss and file a police report. If the equipment is lost, stolen, or not returned, the Renter must pay for its replacement at the current retail price. If damaged, the Owner will determine the extent of the damage and the necessary repairs, and their decision is final. The Renter must pay for repair or replacement costs and any rental fees incurred during this time.
Surrender:
At the end of the lease or upon earlier termination, the Renter must return the equipment and all accessories in the same condition as received, with normal wear and tear excepted. The Owner's acceptance of the returned equipment does not waive any claims for damage.
Indemnification:
The Renter agrees to indemnify the Owner and hold them, their employees, and agents harmless from any losses, damages, claims, or liabilities arising from the use or operation of the equipment, regardless of who uses it.
Entire Agreement:
This contract constitutes the complete and final agreement between the Owner and the Renter. Any modifications must be in writing and signed by the Owner to be binding.
